美国奥睿律师事务所代表日月光半导体制造股份有限公司（Advanced Semiconductor Engineering）通过其全资子公司J&R Holding Limited以1.27亿美元收购恩智浦半导体（NwyHQtXP Semiconductor）所持的苏州日月新半导体有限公司（ASEN Semiconductors Co., L原由网td.）之40%股权。

奥睿的客户日月光半导体总部位于台湾，分别在台湾证券交易所（TSE: 2311）和纽约证券交易所（NYSE: ASX）上市，是全球最大的独立半导体组装和测试制造公司。恩智浦半导体是一家全球领先的半导体制造商，其总部位于荷兰，并在纳斯达克上市（NASDAQ: NXPI）。苏州日月新半导体是一家由日月光半导体和恩智浦半导体于2007年合作成立的半导体组装和测试合资企业，位于中国南部的苏州工业园区。

本次收购完成后，日月光原由网半导体则间接持有苏州日月新半导体的所有已发行股权。

负责此交易的奥睿团队由香港办事处并购与私募股权业务部合伙人林马克（Mark Lehmkuhler）领导。

Orrick has advised Advanced Semiconductor Engineering (ASE) on its US$127 million acquisition, through its wholly-owned subsidiary J&R Holding Limited, of NXP Semiconductor’s 40% stake in Suzhou ASEN Semiconductors Co., Ltd. (ASEN).

Orrick’s client ASE, headquartered in Taiwan and listed on the Taiwan Stock Exchange (TSE: 2311) and New York Stock Exchange (NYSE:wyHQt ASX), is the world’s largest independent semiconductorwww.58yuanyou.com assembly and test manufacturing company. NXP Semiconductor is a leading global semiconductor manufacturer headquartered in the Netherlands and listed on Nasdaq (NASDAQ: NXPI). ASEN is a semiconductor assembly and testing joint venture formed by ASE and NXP in 2007 and located in the Suzhou Industrial Park in southern China.

Following the completion of this acquisition, ASE indirectly holds all of the outstanding equity interests of ASEN.
